1. Definitions
1.1 In these Terms and conditions (the “Terms”), any expression defined at any
point shall have the same meaning throughout. In addition, the following terms
have the following meanings:-
“Booking/Reading/Purchase” shall mean any of the Services purchased and
booked by the Customer from the Company through the Online Booking
System in this Website;
“Company” or “[●]” shall mean [●];
“Customer” shall mean the Party who uses this Website and/or makes a
Booking with the Company;
“Minor” shall mean any person under the age of 18 years old;
“Online Booking System” shall mean the zoom online booking system in this Website;
“Parties” shall mean the Company and the Customer and “Party” shall mean
either of them;
“Services” shall mean the [“Online Reading Program/ Online and Offline
Consultation Service/ Book Purchases/Zoom lessons”] offered from time to time by the
Company in the Website;
“Session” shall mean the session of the Services offered by the Company in this
Website;
“Website” shall mean [●]
2. General
2.1 The Terms may change from time-to-time. The Company reserves the sole right
to amend or delete any of the Terms at any time without notice to the Customer
in accordance with its updated polices. Therefore, the Customer should read
and review these terms carefully and periodically.
2.2 By using the Website and/or making a Booking or Purchase with the Company,
the Customer is deemed to have read and accepted the Terms.
3. Application
3.1 The Terms shall apply to the Website and the Services displayed thereon and/or
booked through the Company.
3.2 The Terms shall apply to every Booking unless the Company notifies the
Customer in writing to the contrary. In the event of conflict between the Terms
and any terms or conditions of the Customer, then these Terms will prevail.
4. Setting up a Membership Account
4.1 A Customer who wishes to make a Booking must set up a membership account
with the Company through this Website.
4.2 In setting up the membership account, the Customer undertakes to provide
information which is true, accurate, not false or misleading and to immediately
notify the Company of any changes which may be relevant to the Customer
and/or any Booking. The Customer also undertakes to maintain up-to-date and
current details of its membership account with the Company.
4.3 All relevant communications relating to a Booking will be sent to the Customer
via the email address provided by the Customer to the Company in his/her
membership account. Therefore, the Customer must ensure that the email
address provided in his/her registration and Booking is valid, current and will be
used for receiving communications from the Company.
4.4 The Customer shall not share any of the details relating to his/her membership
account to any third parties, including but not limited to his/her password, or
any other relevant log-in data.
4.5 Any information received by the Company or any act taken through the use of
the Customer’s membership account is presumed to have been acted or provided
with the authority of the Customer associated with that membership account. In
the event that the Customer is aware that his/her membership account is being
used by an unauthorised person, the Customer shall notify the Company of such
unauthorised use immediately. The Company shall not be liable for any loss or
damage arising out of or in relation to the unauthorised use of a Customer’s
membership account.
5. Making a Booking via the Online Booking System
5.1 A Customer who has set up a membership account with the Company may
make a Booking through the Online Booking System.
5.2 When making a Booking through the Online Booking System, a Customer will
be required to provide:-
5.2.1 The choice of the Services which the Customer would like to purchase;
5.2.2 The choice of the Session which the Customer would like to book;
5.2.3 The number of Minors whom the Customer is booking for; and
5.2.4 The name, age and gender of such Minor(s).
5.3 Customers making a Booking through the Online Booking System may choose
any Session as early as 6 months in advance. If a Customer would like to make
a Booking in advance which exceeds such period, please contact the Company
at [email] or [telephone].
5.4 All Sessions are subject to availability.
6. Price and Form of Payment
6.1 The fees for the Services offered on the Website are listed in Hong Kong
dollars.
6.2 The fees for the Services purchased shall be prepaid in full by the Customer via
Paypal ( info@hkcqcenter.org ) or HSBC Payme when the Customer makes a
Booking through the Online Booking System.
6.3 The Customer acknowledges that the credit card details submitted by the
Customer to the Company through the Online Booking System will be provided
to the Company’s agent for the purposes of processing the payment.
7. Cancellation and Refund of Booking or Purchase
7.1 Save as provided in Clauses 7.3 and 9 of these Terms, a Consultation Booking /
Online Reading Program/ Purchase may not be cancelled by the Customer and
all fees for Services paid by the Customer are non-refundable.
7.2 The Company reserves the right to cancel a Booking if the book chosen is no
longer in publication.
7.3 Should any Booking/Session be cancelled in accordance with Clause 7.2 above,
the Company will endeavour to notify the Customer not later than [24] hours
prior to the commencement time of such Session.
7.4 In the event that a Customer’s Booking is cancelled under Clause 7.2 of these
Terms, the Customer would have the option to:-
(a) A refund of the fees for the cancelled Booking; or
(b) To change the Session of a Booking,
provided that the above option shall be exercised within 3 days of the cancelled
Booking. If such option is not exercised within 3 days, the Customer is deemed
to have forfeited the option and the Customer shall not be entitled to any refund
or change of Booking.
7.5 If the Customer elects to change a Booking under Clause 7.4(b) above, such
Booking shall be changed to a Session not exceeding 1 month from the date of
the original Session booked.
8. Change of Booking
8.1 Save as provided in Clause 9 of these Terms, a Customer may not change the
Session of a Booking if such request is made less than 72 hours prior to the
commencement time of the Session booked by such Customer.
8.2 If for any reason, a Customer would like to change the Session booked with the
Company, such Booking may only be changed if the request is made no later
than 72 hours before the commencement time of the Session booked by such
Customer.
8.3 A Customer may change the Session of each Booking through the Online
Booking System ONCE only.
8.4 Save for any special circumstances which should be communicated to the
Company no later than 72 hours before the commencement time of the Session
changed under Clause 8.3, no Booking may be further changed and the
Customer will be deemed to have forfeited his/her fees if the Minor(s) whom
they represent are unable to attend the Session. Whether a booking may be
further changed under this Clause 8.4 is solely at the discretion of the Company.
9. Arrangements on Adverse Weather Conditions
9.1 In the event that the Typhoon Signal No. 3 or lower is being hoisted by the
Hong Kong Observatory, all Bookings/Sessions for such day will continue to
take place.
9.2 In the event that the Hong Kong Observatory announces that the Typhoon
Signal No.8 or above shall be hoisted within the next 2 hours, all remaining
Bookings/Sessions for such day will be cancelled.
9.3 In the event that the Typhoon Signal No. 8 or Black Rainstorm Signal is hoisted
at 8:00am by the Hong Kong Observatory, all Bookings/Sessions for such day
will be cancelled.
9.4 In the event that a Customer’s Booking is cancelled under Clause 9.2 and 9.3 of
these Terms, the Customer would have the option to:-
(c) A refund of the fees for the cancelled Booking; or
(d) To change the Session of a Booking,
provided that the above option shall be exercised within 3 days of the cancelled
Booking. If such option is not exercised within 3 days, the Customer is deemed
to have forfeited the option and the Customer shall not be entitled to any refund
or change of Booking.
9.5 If the Customer elects to change a Booking under Clause 9.4(b) above, such
Booking shall be changed to a Session not exceeding 1 month from the date of
the original Session booked.
10. Representation and Warranties by the Customer
10.1 By making a Booking, the Customer represents and warrants that he/she is the
parent or guardian of the relevant Minor or has express authority from the
relevant Minor’s guardian or parent to represent the Minor in enrolling and
permitting the Minor to participate in the Services provided by the Company.
10.2 The Customer represents and warrants that all details and information
maintained in its membership account or Booking are up-to-date, true, valid and
not misleading.
11. Limitation of liability
11.1 The Company does not warrant that the functionality of the Website or the
Website of any third party to which this Website is linked (if any) will be
uninterrupted or error-free, free of viruses or other harmful components, or that
defects will be corrected.
11.2 Under no circumstances will the Company be liable for any direct or indirect
damages of any kind, arising from the Customer‘s use of this Website, including
but not limited to, computer viruses and/or unavailable or interrupted network
connections. If the Customer is dissatisfied with the Website, the Website
content, or these Terms, the Customer’s sole and exclusive remedy is to
discontinue using the Website.
11.3 In the unlikely event of an accident, or loss or damage to the Customer or any
Minor whom such Customer represents (under Clause 10.1 of the Terms) during
their participation of the Services, the Company shall not be liable for any direct
or indirect loss, damage or injury arising from or in connection with the
Services (except in instances of death or personal injury caused by the
Company’s negligence) and the Customer (on its own behalf and on behalf of
the relevant Minor to which he/she represents) hereby waives all and any claims
against the Company in this respect.
12. Indemnity
12.1 The Customer shall indemnify, defend and hold harmless the Company, its
directors and officers from and against any and all injuries, damages, losses,
liabilities, claims, judgments and settlements, including all reasonable costs,
expenses and legal fees arising from or related to any breach by the Customer of
these Terms, the Customer’s negligent or willful act or omission while using
this Website, or the Customer’s infringement of the intellectual property rights
of the Company or any third party content provider of the Website.
13. Intellectual Property rights of the Company
13.1 This Website contains intellectual property rights owned by the Company. All
logos, images, books content, films and texts cannot be used without the
Company’s prior written consent.
14. Data Protection
14.1 Customer’s data is processed in accordance with the Hong Kong Personal Data
(Privacy) Ordinance (Cap. 486 of the Laws of Hong Kong). Details on the

15. Invalidity
15.1 If any one or more of the provisions of the Terms are found by any competent
authority to be void or unenforceable, such provisions shall be deemed to be
deleted from the Terms and the remaining provisions of the Terms shall
continue in full force and effect.
16. Applicable Law
16.1 These Terms and any Booking under these Terms are governed by and shall be
construed in accordance with the laws of Hong Kong and the courts of Hong
Kong shall have non-exclusive jurisdiction to deal with any dispute or claim
arising out of or in connection with any Booking or these Terms.
17. Chinese Translation
17.1 These Terms have been translated into Chinese. If there is any inconsistency or
discrepancy between the English version and the Chinese version, the English
version shall prevail.
